Greater Philadelphia Area (Highly Flexible Hybrid - 4 days WFH)

Comp Range:

$160,000 – $190,000 base (with some flexibility for the right fit)

Role Summary

We are seeking an

Assistant General Counsel

to join a lean, sophisticated in-house legal team in a corporate generalist capacity.

This role is heavily transactional and focused on commercial contracts. You do not need to have held an Assistant GC title previously, provided you possess strong commercial contract negotiation experience. The ideal candidate is a pure transactional attorney rather than a litigator looking to transition in-house.

Key Responsibilities

• Commercial Contracts:

Draft, review, and negotiate a high volume of corporate agreements, including complex vendor, institutional, and partnership contracts.

• Corporate Generalist Support:

Act as a strategic legal advisor across multiple internal departments, handling day-to-day legal and operational issues.

• Risk \& Compliance:

Identify legal risks and provide proactive, solutions-oriented guidance to protect the organization’s mission and operations.

• Data Privacy:

Support or oversee data privacy compliance and related contractual provisions.

Position Requirements

• Experience:

7\+ years of dedicated

corporate transactional law

and

commercial contracts experience

(law firm or in-house experience is acceptable).

This role is not a fit for litigation-heavy profiles.

• Licensure:

Must be a member in good standing of the

Pennsylvania Bar

, or possess immediate eligibility to practice as in-house counsel under state reciprocity/admission rules.

• Contract Focus:

Proven track record with varied commercial contracts, vendor management, or funding agreements. Knowledge of data privacy regulations is a significant plus.
