The Role
As Commercial Counsel at Wpromote, you will join the Legal team that is a strategic partner to the business, operating at the intersection of cutting‑edge technology and go‑to‑market execution. In this role, you will structure and negotiate high‑impact commercial deals with clients, partners, and vendors that not only protect the company but also unlock revenue, drive sustainable growth for our clients, and strengthen critical partnerships. We drive clarity on risk, develop practical solutions to complex issues, and partner closely with internal stakeholders to close complex deals. This role will primarily support commercial legal work, with the opportunity to contribute across other areas as needed.

The anticipated annual salary for this role will range from $130,000 - $150,000, based on consideration of a wide array of factors unique to each candidate, including but not limited to skill set, years and depth of experience, education and certifications, competitive benchmarks, scope of responsibility, market dynamics, geographic location, and respective state’s salary threshold for exempt employees. The total compensation package for this role will include benefits (listed above) and an annual performance bonus.
This role has an associated annual target bonus component which is paid out based on a number of factors which include Company performance, department performance, and individual performance. Bonuses are not guaranteed and you must be an active employee in good standing and not on a Performance Improvement Plan to be eligible for the annual bonus.

You Will Be
- Serve as commercial counsel for client, vendor, and general commercial contracts across Wpromote - from inception to execution - including professional services, SaaS, data, Ad/MarTech software, and other third‑party agreements
- Provide practical, risk‑aligned legal guidance that helps the business move deals forward efficiently
- Build a deep understanding of Wpromote’s services and offerings, and collaborate closely with internal clients to understand and support their goals
- Review, draft, and negotiate a wide range of commercial agreements (including master service agreements, software licenses, SOWs, data protection agreements, professional services agreements, and other procurement contracts)
- Apply legal playbooks and templates while recognizing when custom structuring is needed
- Drive efficient deal flow by triaging and managing tickets through our contract management platform, Ironclad, escalating issues to the right stakeholders, and helping streamline intake, approvals, and closing processes
- Help build and continuously improve the commercial legal function at Wpromote by creating scalable playbooks, templates, processes, and training for internal teams
You Must Have
- J.D. degree with solid academic credentials and an active state bar membership
- 3 to 5 years of experience in a transactional practice at a law firm and/or in‑house, with a preference for those with experience in marketing, advertising, data, AI, intellectual property, or privacy
- Experience as a negotiator on fast‑moving, complex deals, combining strong analytical judgment with high EQ to build consensus with internal and external stakeholders on tricky issues under time pressure
- Experience with Ironclad or similar contract lifecycle management (CLM) platforms to manage contract workflows, approvals, and develop scalable templates and processes
- Comfort working with privacy, security, and data‑use terms (including DPAs and information security exhibits), and collaborating with subject‑matter experts to resolve issues efficiently
- Strong communication skills with a demonstrated ability to translate complex legal and risk concepts into clear, actionable guidance for non‑lawyers
- A solutions-oriented mindset with the ability to independently drive matters quickly from start to finish
- Holds an exceptionally high bar for their own work and contributes to team development through collaboration, knowledge sharing, and continuous process improvement
- Genuine curiosity about how Wpromote’s business works and a desire to jump in cross‑functionally to help teams solve problems, even when the work sits outside traditional legal lanes
- Desire to learn new products, AI and data issues, and evolving areas of law, with a low-ego and entrepreneurial mindset that sees ambiguity as opportunity and obstacles as chances to build solutions
- Prior in‑house experience on high‑impact legal teams at a digital marketing agency, Ad/MarTech provider, or technology (AI) company; high‑growth company experience is a plus
