We are seeking a proactive and resilient Corporate Counsel to join our client's growing legal team, reporting directly to the Head of Legal \& Governance. This is a highly hands-on role, perfectly suited for someone who thrives when close to the action—whether that’s structuring complex private debt deals, supporting significant renewable energy projects, or ensuring robust corporate governance across the group.

You will serve as a key legal advisor, balancing rigorous legal risk management with the fast-paced execution demands of the business. This position offers significant exposure to high-value commercial structuring and acts as a crucial deputy resource for company secretarial duties, providing a unique blend of transactional and governance experience that will significantly enhance your corporate career trajectory. Responsibilities:

  • Serve as the primary corporate commercial legal advisor across the group, with a strong focus on private debt, private capital initiatives, and complex renewable energy transactions.
  • Draft, negotiate, and manage the full lifecycle of critical commercial agreements, transaction documentation, and supporting security arrangements.
  • Provide essential deputy company secretarial support, ensuring meticulous compliance with the Companies Act, including managing board processes, resolutions, statutory records, and governance meeting minutes.
  • Actively support the execution of complex renewable energy deals, including input on funding structures, Power Purchase Agreements (PPAs), and distributed energy asset arrangements.
  • Advise on debt security structures, risk allocation, and enforcement considerations related to transaction financing.
  • Attend key governance meetings (Board, Investment Committee), prepare relevant materials, accurately record decisions, and track follow-through actions.
  • Liaise effectively with internal finance, compliance, and investment teams, as well as external auditors and counsel.
  • Support due diligence, KYC processes, and the maintenance of accurate corporate records for investors and counterparties.
  • Provide ad-hoc commercial support, including input on matters that may involve dispute resolution or contentious issues.

Requirements:

Must-Haves (Essential):

  • Legal Standing:

Admitted Attorney in good standing.

  • Experience Level:

Approximately 4\+ years’ post-qualification experience (PQE).

  • Core Technical Skills:

Strong working knowledge of the Companies Act, statutory compliance, board procedures, and corporate governance principles.

  • Transactional Focus:

Proven exposure to corporate commercial work, including debt funding agreements, security arrangements, covenants, and related documentation.

  • Sector Exposure:

Demonstrated ability to handle complex commercial structuring.

  • Professional Attributes:

Highly commercially minded, detail-oriented, resilient, and able to operate independently in a fast-paced environment.

Nice-to-Haves (Beneficial):

  • Commercial Disputes / Litigation:

Experience handling commercial disputes or litigation matters.

  • In-House Legal Experience:

Direct in-house legal experience would be beneficial, although law firm experience is also welcomed.

  • Conveyancing Exposure:

Experience with conveyancing processes, specifically bond registration.

  • Private Debt / Private Equity Exposure:

Prior involvement in structuring or advising on private debt funds or private equity transactions.

  • Renewable Energy Documentation:

Specific experience with renewable energy documentation, including PPAs, EPC agreements, and developer agreements.
