Corporate Counsel

Responsibilities

• Serve as lead internal legal advisor overseeing all legal matters

• Manage legal team and outside counsel across multiple practice areas

• Provide practical legal guidance to support business operations and strategy

• Review, draft, and negotiate a wide range of agreements including loan, real estate, and commercial documents

• Advise on regulatory compliance including consumer lending laws and financial regulations

• Support lending transactions, credit matters, and loan restructuring

• Oversee collections, foreclosures, bankruptcies, and related proceedings

• Manage vendor contracts and third party agreements

• Lead legal support for litigation, investigations, audits, and regulatory exams

• Maintain records retention and legal hold processes

• Monitor legal and regulatory developments and implement policy updates

• Partner with insurance carriers on liability and claims matters

Board \& Governance

• Advise board and committees on legal risk and governance matters

• Draft and review bylaws, resolutions, and governance documents

• Attend board meetings and provide legal guidance

Qualifications

• JD required and active bar admission in at least one state

• 7\+ years of legal experience, preferably with business or financial services exposure

• Experience in real estate, commercial law, UCC, and banking regulations preferred

• Strong knowledge of creditor rights, lending compliance, and litigation processes
