Job Description
Our client is a leading global venture platform focused on backing innovative technology and AI companies.
This is a highly commercial role, working directly alongside investment professionals and senior leadership on venture investments while providing broader legal support across the business as needed.
Key Responsibilities - Associate General Counsel, Venture Capital
- Partner closely with the Venture Capital investment team throughout the investment lifecycle, providing practical legal advice on prospective and existing investments.
- Lead the legal review, drafting and negotiation of investment documentation, including term sheets, equity financing documents, shareholder agreements, NDAs and ancillary transaction documents.
- Conduct legal due diligence and advise investment professionals on legal, commercial and execution risks associated with venture investments.
- Support portfolio company matters, governance issues and ongoing legal requirements following investment.
- Advise on legal and regulatory matters affecting an SEC-registered investment adviser, including investment management and corporate operations.
- Assist with investor documentation, limited partner matters and broader fund-related legal work where required.
- Provide legal support to other investment strategies and strategic business initiatives as the platform continues to grow.
- Manage external counsel efficiently across transactions and specialist legal matters.
- Monitor legal and regulatory developments impacting venture capital, private funds and investment management businesses.
- Contribute to the continued development of legal processes, governance frameworks and best practices across the organization.
Qualifications - Associate General Counsel, Venture Capital
- Juris Doctor (JD) from an accredited law school and active admission to practice in at least one U.S. jurisdiction.
- Minimum 4 years’ legal experience gained within a leading law firm, investment manager, venture capital firm, private equity platform or financial institution.
- Strong experience advising on venture capital investments, including legal due diligence, reviewing, drafting and negotiating term sheets, equity financing documents and transaction documentation.
- A commercial mindset with the ability to balance legal risk against business objectives.
- Strong drafting, negotiation and stakeholder management skills.
- Excellent judgment, attention to detail and strong organizational skills.
- A collaborative approach with the confidence to partner directly with investment professionals and senior executives.
