Corporate Legal Counsel.

Position Summary: The Corporate Legal Counsel will serve as a key member of HCP’s in-house legal function, providing practical, business-oriented legal advice across a wide range of areas including regulatory compliance, contract management, healthcare-related matters, and general corporate law. This is a hands-on, mid-level role with direct involvement in supporting and advancing the organization’s compliance program.

The Corporate Legal Counsel will work cross-functionally with leadership, Human Resources, compliance, and operations teams to manage legal risk, support contracting and vendor relationships, and actively contribute to the design, implementation, and ongoing effectiveness of the corporate compliance program. This individual will also coordinate with and leverage outside counsel as needed.

Essential Position Functions/Responsibilities

  • Serve as in-house counsel supporting the organization on a broad range of matters.
  • Draft, review a variety of contracts, including:

+ Vendor agreements

+ Business Associate Agreements (BAAs)

+ Technology and data-related agreements

+ Health plan and payer-related contracts

+ Network Provider Agreements

  • Provide legal support for health plan relationships, including contract interpretation, issue resolution, and regulatory considerations.
  • Advise internal stakeholders on legal risks, contract terms, and compliance obligations.
  • Play an active, hands-on role in the development, implementation, and continuous improvement of the organization’s corporate compliance program
  • Lead organizational compliance to:

+ Develop, review, and update policies and procedures to align with regulatory and delegation contractual requirements

+ Monitor and interpret changes in federal and state laws and regulations

+ Ensure on-going compliance with health plan delegation requirements

+ Support internal audits, risk assessments, and compliance reviews

  • Provide legal guidance on compliance investigations, including reviewing findings and advising on remediation efforts.
  • Assist in the development and delivery of compliance training and education programs.
  • Help promote a culture of compliance and ethical conduct across the organization.
  • Participate in compliance committee activities and reporting, as needed.
  • Provide guidance on healthcare regulatory matters (e.g., HIPAA, Medicare, Medicaid, and commercial payer requirements)
  • Partner with Human Resources on employment-related matters, including:

+ Employee relations issues

+ Policy interpretation and development

+ Workplace investigations and risk mitigation

+ Drafting policies and employment-related documents

+ Assisting with employment dispute resolution, including mediation and arbitration

+ Conducting internal investigations

+ Conducting training for managing staff on labor and employment topics

  • Review and advise on health plan documentation and related agreements.
  • Assist in managing risk and supporting internal governance processes.
  • Collaborate with business teams on operational initiatives to ensure legal and regulatory compliance.
  • Manage and coordinate with outside counsel on specialized or complex legal matters.
  • Help develop and improve internal legal processes, templates, and contract management systems.
  • Support high-growth and technology initiatives, including digital health or high-tech contracting considerations where applicable.
  • Performs other duties as assigned in support of departmental and organizational objectives.

Qualification Requirements

Skills, Knowledge, Abilities

  • Strong foundation in contract law, drafting, and negotiation.
  • Working knowledge of regulatory compliance frameworks; healthcare exposure is a plus but not required.
  • Demonstrated experience supporting or directly participating in a corporate compliance program.
  • Ability to translate complex legal concepts into practical business advice.
  • Experience handling multiple matters simultaneously in a fast-paced environment.
  • Sound judgment, discretion, and ability to assess and mitigate risk.
  • Collaborative mindset with strong interpersonal and communication skills.
  • Resourceful and proactive, with the ability to identify when to escalate issues or engage outside counsel.
  • Familiarity with compliance investigations, audits, and risk assessments.

Training/Education

  • Juris Doctor (JD) from an ABA-accredited law school, required
  • Active New York State bar membership, required

Experience

  • 3–5 years of legal experience, preferably with a mix of law firm and/or in-house experience
  • Experience in contract drafting and negotiation required
  • Direct involvement with compliance programs, audits, or regulatory matters required
  • Exposure to healthcare, insurance, or other regulated industries strongly preferred but not required
  • Experience supporting employment matters or HR-related issues is a plus
  • Prior in-house experience or demonstrated ability to operate in a business-facing role preferred

Base Compensation: $170,000 - $210,000
