The Head of Legal reports directly to the CFO and serves as the company's senior legal authority across commercial contracting, corporate governance, and M\&A integration. This is a hands-on, high-volume role built for a seasoned in-house counsel who thrives at the intersection of commercial execution and legal rigor. You'll work closely with sales and customer success teams to close deals, negotiate and standardize contracts, and build the legal infrastructure that scales with our growth.
Key Responsibilities
- Own the end-to-end negotiation, drafting, and review of commercial contracts, including software licenses, service agreements, renewals, and partnership deals, ensuring they align with business objectives and minimize risk Partner directly with sales and customer success to accelerate deal velocity while managing risk and maintaining contract consistency
- Establish and enforce the company's global legal policies and internal controls, ensuring compliance with local and international laws
- Lead the legal integration of acquired entities, ensuring alignment with corporate policies, legal compliance, and seamless transition of contracts and IP assets

Requirements
- JD from an accredited law school and active bar membership in good standing in at least one U.S. jurisdiction required
- Minimum 2 years of in-house legal counsel experience at an established software or SaaS company
- Proven track record negotiating a high volume of commercial contracts in a fast-paced B2B software environment
- Strong command of software-specific contract terms including SaaS licensing, IP ownership, data rights, and liability limitations
- Experience working directly with sales and customer success teams to support deal closure and renewal negotiations
- Exposure to M\&A transactions and corporate matters, with the ability to manage through outside counsel relationships
Nice to Haves
- Experience at a PE-backed or high-growth SaaS company
- Hands-on M\&A due diligence and entity integration experience
- Familiarity with contract lifecycle management tools
- Experience building or standardizing a commercial contracts function
