Job Description:

Shield AI is seeking an Equity Program Manager to join our finance team. Reporting to the Technical Accounting Director, this role will be responsible for administering and managing the company’s equity compensation programs, including stock options, restricted stock units (RSUs), and other share-based plans. This role ensures accurate recordkeeping, regulatory compliance, and effective communication with employees regarding equity awards.

What you'll do:

  • Administer global equity compensation plans
  • Maintain and manage equity tracking systems
  • Oversee cap table management and ensure data accuracy.
  • Ensure compliance with regulatory requirements
  • Coordinate with Finance, Legal, HR, and Payroll teams.
  • Manage equity transactions, including grants, vesting, exercises, and terminations.
  • Support financial reporting requirements
  • Prepare and review equity-related disclosures for audits and filings.
  • Respond to employee inquiries regarding equity compensation.
  • Develop and improve processes, controls, and documentation.
  • Required qualifications:

  • Bachelor’s degree in Finance, Accounting, Business, or related field.
  • 5+ years of experience in equity compensation, stock plan administration, or related area.
  • Strong knowledge of equity compensation regulations and tax implications.
  • Experience with equity management platforms – Carta, Shareworks, Equity Edge
  • Advanced Excel and data management skills.
  • High attention to detail and strong analytical abilities.
  • Preferred qualifications:

  • Certified Equity Professional (CEP) designation.
  • Experience working in a public company or pre-IPO environment.
  • Familiarity with global equity plans and cross-border compliance.
  • Strong communication and stakeholder management skills.
