The Role

The firm is seeking an experienced

Associate General Counsel - Alternatives Fund Formation

to join its Legal team in New York. This role will serve as a key legal advisor to the alternatives business, supporting the structuring, formation, negotiation, and ongoing operation of a wide range of private investment funds and related vehicles.

The position offers meaningful responsibility, direct interaction with senior investment professionals, and exposure across the full lifecycle of alternative investment products within a collaborative, high-performing legal team.

Key Responsibilities

  • Lead legal structuring, drafting, and negotiation for a variety of alternative investment products, including:
  • Private equity funds
  • Private credit and direct lending vehicles
  • Real assets and hybrid products
  • Separately managed accounts, co-investments, and feeder vehicles
  • Draft and negotiate fund formation documents, including:
  • Limited partnership agreements
  • Private placement memoranda
  • Subscription documents
  • Side letters and related agreements
  • Advise on regulatory and compliance considerations relevant to private funds, including U.S. and non-U.S. investors
  • Partner closely with investment, product development, compliance, tax, operations, and distribution teams
  • Support fund amendments, restructurings, closings, and ongoing governance matters
  • Manage and coordinate with external counsel as appropriate
  • Provide pragmatic, solutions-oriented legal guidance aligned with commercial objectives

Qualifications

  • J.D. from a top-tier law school; active New York bar membership
  • 4\+ years of relevant experience in:
  • A major law firm (fund formation/private funds practice), and/or
  • An in-house legal role at an asset manager or alternative investment platform
  • Deep experience with private fund formation and alternative investment structures
  • Strong understanding of partnership law and private funds regulation
  • Excellent drafting, negotiation, and communication skills
  • Ability to manage multiple complex matters in a fast-paced environment
  • Collaborative, business-oriented mindset with strong judgment
