Our client is a nationally recognized, mission-driven nonprofit organization with a widely known consumer brand and a substantial commercial operating arm spanning retail, E-commerce, and complex supply chain operations. The organization is seeking an experienced commercial attorney to join its legal team as Vice President, Associate General Counsel.
This is a highly visible, hands-on role with significant ownership across the organization’s commercial legal function. Reporting to the Office of the General Counsel, the successful candidate will lead key transactions, provide day-to-day legal counseling, and partner closely with business leaders to support operational, regulatory, and strategic initiatives.
The role focuses heavily on negotiating and managing critical commercial agreements across vendor, supplier, logistics, and distribution relationships, while also advising on regulatory compliance, consumer protection, and E-commerce matters. In parallel, the position plays a key role in managing disputes and litigation, overseeing outside counsel, and strengthening legal processes and documentation across the organization.
Well-suited for an in-house lawyer seeking autonomy, cross-functional engagement, and direct impact, this role offers the opportunity to serve as a strategic advisor across a sophisticated commercial enterprise while supporting a broader mission-driven organization with meaningful national impact.
This position may be performed fully remotely from anywhere in the United States, provided the candidate is able to work East Coast hours.
- Base annual salary range of $165,000 – $200,000\. While compensation is below top-of-market for comparable in-house roles, the position offers a unique combination of brand prestige, mission alignment, and broad leadership exposure.
Responsibilities:
- Lead and independently negotiate, draft, and execute complex commercial agreements supporting the organization’s supply chain and E-commerce operations, including vendor, supplier, logistics, distribution, payment processor, and retail arrangements;
- Provide legal counsel on supply chain operations, procurement, compliance, and supplier relationships, identifying and mitigating legal and commercial risks;
- Serve as a key legal partner to business leaders, advising on operational and strategic initiatives, including transformational transactions and projects;
- Deliver practical, business-oriented guidance on regulatory and operational matters, including consumer protection, digital commerce, and applicable product-related regulatory frameworks;
- Monitor and interpret evolving regulatory requirements and translate them into actionable, business-oriented guidance;
- Collaborate cross-functionally with supply chain, retail, E-commerce, compliance, and innovation teams to support business objectives and enhance alignment;
- Manage commercial disputes and litigation, including directing outside counsel and ensuring efficient resolution;
- Oversee and manage outside counsel relationships across relevant matters;
- Develop, update, and maintain standard legal documents and templates to reflect best practices; and
- Support enterprise-wide legal initiatives and contribute to strengthening internal processes and collaboration;
Required Qualifications:
- J.D. and active bar admission in good standing (New York or another U.S. jurisdiction);
- Minimum of 7 years of legal experience, with a combination of law firm and in-house experience strongly preferred;
- At least 5 years of experience in commercial contracting, procurement, supply chain, or related industries, including experience supporting a consumer-facing business;
- Extensive experience drafting and negotiating a wide range of commercial agreements, including vendor/supplier agreements, manufacturing and distribution contracts, NDAs, MSAs, service agreements, and logistics arrangements;
- Strong understanding of legal risks associated with consumer-facing operations, retail, and supply chain functions;
- Experience advising on regulatory matters related to consumer products preferred, including labeling, disclosures, marketing claims, and compliance considerations;
- Demonstrated ability to independently manage complex transactions and projects with minimal supervision in a fast-paced environment;
- Proven ability to communicate complex legal concepts clearly to non-legal stakeholders and provide practical, business-focused solutions;
- Strong organizational skills with the ability to manage multiple priorities and internal clients;
- Experience leading cross-functional initiatives and collaborating with diverse business teams; and
- Proficiency with Office 365 or similar tools, including PowerPoint and Excel.
