About the The Opportunity:

Our client is at the forefront of investment management with a particular focus on dynamic, large-scale real estate transactions. This is an exceptional opportunity for a skilled corporate and securities attorney to join a high-performing legal team engaged in public offerings, complex M\&A, and portfolio-level financings. As Corporate Counsel, you will make a direct impact supporting corporate governance and transactional matters across an extensive real estate portfolio, all within a collaborative, innovative, and growth-driven environment.

Responsibilities:

  • Assist with securities offerings in the public capital markets, including preparing offering materials for SEC filing and coordinating due diligence processes.
  • Support portfolio-level financing and structured debt transactions across the company’s real estate portfolio.
  • Draft, review, and ensure compliance of commercial contracts and other corporate legal documentation.
  • Contribute to the preparation of SEC filings, such as Form 8-Ks, proxy statements, and beneficial ownership forms using in-house EDGAR software.
  • Prepare and review board meeting minutes, consents, and related governance documents.
  • Assist with due diligence on M\&A, joint ventures, and real estate transactions.
  • Review press releases and investor presentations for legal accuracy and regulatory compliance.
  • Partner with colleagues across departments to gather information, meet deadlines, and manage workload efficiently as a corporate generalist.

Must-Have Skills:

  • 4-6 years of experience drafting and reviewing SEC filings (8-K, 10-Q, 10-K, Forms 3, 4, 5, proxy statements) and corporate governance documents for a legal department or private law firm.
  • Expertise in corporate governance, contract drafting, and compliance within real estate or public companies.
  • Strong communication skills, including the ability to explain complex legal concepts clearly in both written and verbal formats.
  • Proficiency with Workiva and EDGAR filing software.
  • Graduate of a top-tier law school and admitted to practice law

Nice-to-Have Skills:

  • Direct experience with real estate law and understanding of financial statements.
  • Experience managing multiple deadlines with minimal supervision in a fast-paced environment.
