Core Requirements (Flexibility for Exceptional Candidates):

• JD from an accredited law school and active U.S. bar admission.
• 5\+ years of M\&A / corporate experience (BigLaw or strong mid-sized firm preferred).
• Excellent drafting, negotiation, and deal execution skills.

Responsibilities

• Draft and negotiate purchase agreements, merger agreements, and ancillary transaction documents
• Conduct comprehensive due diligence reviews and prepare due diligence summaries
• Prepare and revise disclosure schedules and closing checklists
• Analyze and advise on deal structuring, risk allocation, and regulatory issues
• Manage transaction timelines and coordinate document production and revisions
