About the Role

We are seeking an experienced Corporate Counsel to support our growing international team on a freelance, part-time basis.

This role is ideal for a legal professional with a strong background supporting technology consulting, enterprise software, or SaaS organizations. We are specifically looking for someone who has previously supported a ServiceNow Partner, ServiceNow consulting company, or enterprise technology consulting organization and understands the legal and commercial aspects of ServiceNow consulting engagements.

This is a fully remote freelance engagement with an expected commitment of up to 20 hours per week.

Key Responsibilities

• Draft, review, negotiate, and manage MSAs, SOWs, NDAs, Professional Services Agreements, SaaS Agreements, Vendor and Partner Agreements.

• Review customer agreements related to ServiceNow consulting, implementation, managed services, support services, and strategic partnerships.

• Advise executive leadership and business teams on legal matters.

• Support contract negotiations with customers, partners, and vendors. • Advise on corporate governance, intellectual property, software licensing, employment, and privacy matters.

• Develop contract templates, legal playbooks, and internal policies.

Required Qualifications

• Licensed to practice law in the United States or Canada.

• 5\+ years of corporate, commercial, or technology law experience.

• Experience supporting a SaaS, enterprise software, IT consulting, managed services, or technology company.

• Strong experience drafting, reviewing, and negotiating commercial agreements. • Experience supporting a technology consulting or SaaS company, including negotiating MSAs, SOWs, software licensing, and customer agreements.

• Knowledge of commercial law, corporate governance, employment law, and privacy regulations.

• Ability to work independently in a remote freelance environment.

Preferred Qualifications

• Experience supporting AI, cloud, or digital transformation companies. • Experience with international commercial transactions.

• Experience developing contract templates and legal playbooks.

• Previous experience supporting a ServiceNow Partner, ServiceNow consulting company is a plus.
